IMAGE SERVICES

Section 1.  THE SERVICE.

These Image Service Terms (the “Service Terms”) set forth the terms under which Customer may view certain images associated with Customer’s checking and savings Accounts (the “Service”).  The Service includes the Check Inquiry Service, Deposit Inquiry Service, Image Inquiry Service and Image File Download Services, each as described below.  The Service is also subject to the General Provisions of the Treasury Management Terms and Conditions Agreement (the “Agreement”) as if fully incorporated herein and all Applicable Laws.  In the event of a conflict between these Service Terms and other terms in the Agreement, these Service Terms shall control.  Unless otherwise defined herein, any capitalized terms shall have the meaning as set forth in the Agreement.  Any reference to the Agreement herein shall be deemed to include these Service Terms.

Section 2.  IMPLEMENTATION.

Customer will designate the Account(s) for which Customer will receive the Service in the applicable Operational Instructions. Customer must complete the implementation process and provide such information as is requested by Bank before the Service will be made available.  Customer agrees to follow the procedures for using the Service, which will be provided by Bank depending on the delivery method and other options elected by Customer during the implementation process.  Customer understands that physical checks will not be returned to them with Account statements when they are using the Service. 

Section 3.  SERVICE OPTIONS.

Customer may elect any or all of the following Service options:

              (a)  Check Inquiry Service. The Check Inquiry Service allows Customer to view images of the front and back of Checks paid against Customer’s Account through the Channels. The Check images provided will be available through the Service for a period of 18 months.

              (b)  Deposit Inquiry Service. The Deposit Inquiry Service may be used by Customer to view the front and back images of deposit tickets, certain deposit ticket items, as well as Checks deposited to the Account through the Channels. Only deposit transactions for checking and savings Accounts may be viewed through the Deposit Inquiry Service.  Deposit transaction history will be available through the Service for a period of 7 years.

              (c)  Image Inquiry Service. The Image Inquiry Service allows Customers to view images of the front and back of Checks paid against the Account and Checks presented for payment (but not paid) against the Account. The images provided through the Image Inquiry Service will be available through the Service for a period of 7 years.

              (d)  Image File Download Service. With the Image File Download Service, Bank sends a file directly to Customer through the Channels that contains an image of each Check paid and an Index file with Check detail information (the “Image File”).  The Image File will not include images of Account statements.  Customer will elect the schedule and frequency at which Image Files are sent in the Operational Instructions.  Customer will utilize the Channel to download the Image Files, which can then be integrated into Customer’s own software. The Image Files can be received directly from a File Transmission Protocol service or Desktop Connection.  To use Image File Download, Customer must be able to accept data files in the formats indicated in the Operational Instructions.  Customer must maintain software capable of downloading the Image Files and have the space necessary in order to download and store the Image Files on the Customer Systems.
